The terms governing your use of our website and engagement of our professional engineering services.

1. Acceptance of Terms

By accessing and using the website at cuvetteengineering.com or by engaging the services of Cuvette Engineering (U) Ltd, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.

These terms apply to all visitors, clients, contractors, and any other persons who interact with Cuvette Engineering (U) Ltd in any capacity.

2. About Cuvette Engineering

Cuvette Engineering (U) Ltd is a company incorporated and registered in Uganda under the Uganda Registration Services Bureau (URSB).

Our principal office is located in Kampala, Uganda. We deliver engineering services including construction & civil works, fiber & telecom infrastructure, electro-mechanical works, facility maintenance, security systems, and project management.

3. Use of This Website

You may use our website for lawful purposes only. You must not:

  • Use the website in any way that violates applicable Ugandan or international law or regulation
  • Transmit any unsolicited or unauthorised advertising or promotional material
  • Attempt to gain unauthorised access to any part of the website or its server
  • Interfere with, damage, or disrupt the website or its infrastructure
  • Reproduce, copy, or republish any content from this website without prior written consent

We reserve the right to suspend or terminate access to the website for any person who violates these terms.

4. Quotations & Proposals

All quotations and proposals issued by Cuvette Engineering (U) Ltd are subject to the following:

  • Quotations are valid for 30 days from the date of issue unless otherwise stated in writing
  • Quotations are based on the scope of work, site conditions, and information provided by the client at the time of enquiry. Any changes to scope or site conditions may result in revised pricing
  • A quotation does not constitute a binding contract until both parties have signed a formal Service Agreement or Letter of Award
  • Verbal agreements or instructions are not binding and must be confirmed in writing

5. Engagement of Services

A formal engagement begins upon:

  • Signing of a Service Agreement, Contract, or Letter of Award; and
  • Payment of any agreed deposit or mobilisation fee

The client is responsible for providing accurate site information, access to the project site, necessary approvals and permits (unless otherwise agreed in writing), and timely responses to requests for information or decisions.

Cuvette Engineering (U) Ltd reserves the right to decline any engagement at our sole discretion.

6. Payment Terms

Unless otherwise agreed in the Service Agreement:

  • A deposit of 30–50% of the contract value is required before mobilisation commences
  • Progress payments are due as specified in the project payment schedule
  • Final payment is due upon practical completion and handover
  • All payments are to be made in Uganda Shillings (UGX) unless otherwise agreed
  • Invoices not settled within 14 days of the due date may attract an interest charge of 2% per month on the outstanding balance
  • Cuvette Engineering (U) Ltd reserves the right to suspend works if payments are not received in accordance with the agreed schedule

7. Project Delivery & Timelines

We are committed to delivering projects within agreed timelines. However, timelines may be affected by:

  • Delays caused by the client, including delayed approvals, payments, or access
  • Force majeure events — including natural disasters, civil unrest, government directives, or other circumstances beyond our reasonable control
  • Variations or additions to the agreed scope of work
  • Delays in supply of materials or equipment outside our control

In such cases, Cuvette Engineering (U) Ltd will notify the client promptly and agree a revised timeline in writing. We shall not be held liable for delays arising from causes outside our reasonable control.

8. Liability & Warranties

Cuvette Engineering (U) Ltd warrants that all services will be delivered with reasonable skill and care in accordance with applicable Ugandan standards and regulations.

Our liability to any client shall be limited to the total value of the contract under which the claim arises. We shall not be liable for:

  • Any indirect, consequential, or special losses
  • Loss of profits, revenue, or business opportunity
  • Damage arising from information or materials provided by the client that are inaccurate, incomplete, or misleading
  • Third-party claims not directly caused by our negligence

Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

9. Intellectual Property

All designs, drawings, reports, plans, specifications, and documents prepared by Cuvette Engineering (U) Ltd remain our intellectual property until full payment has been received. Upon full payment, ownership of project-specific deliverables transfers to the client.

All content on this website — including text, logos, images, and graphics — is owned by or licensed to Cuvette Engineering (U) Ltd. You may not reproduce, distribute, or use any website content without our prior written permission.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in the course of an engagement. This includes pricing, technical methods, client data, and business strategies. This obligation survives the end of any contract or engagement.

We will not disclose client information to third parties except as required to deliver the agreed services or as required by law.

11. Termination

Either party may terminate a service engagement by giving 14 days written notice. In the event of termination:

  • The client shall pay for all work completed and materials procured up to the date of termination
  • Cuvette Engineering (U) Ltd shall return any unused materials purchased specifically for the project
  • Any deposits paid for unstarted work may be refunded at our discretion, less any reasonable administrative or preparation costs incurred

We may terminate an engagement immediately and without notice if the client fails to make payments as agreed, or engages in conduct that is unlawful or poses a risk to our staff or operations.

12. Dispute Resolution

In the event of any dispute arising from these terms or any service engagement, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, the matter shall be referred to mediation or arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act (Cap. 4, Laws of Uganda).

13. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of Uganda. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Uganda.

14. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. The date at the top of this page will reflect the most recent update. Continued use of our website or services after any changes constitutes acceptance of the updated terms. We encourage clients to review this page periodically.
